Article 1 – Purpose
These Terms and Conditions of Sale (T&Cs) govern the contractual relationship between Socialmine SASU and any professional client using the Socialmine platform (available at https://socialmine.fr).
Article 2 – Service description
Socialmine is a SaaS platform that enables agencies and brands to analyze YouTube videos, identify sponsors, and generate statistics for marketing and partnership purposes.
Article 3 – Service access
Access to the platform requires the creation of a user account. Socialmine reserves the right to suspend or terminate an account in the event of non-compliance with these terms.
Article 4 – Pricing
Access to the service may involve a free offer, a subscription, or specific billing according to the contract established between Socialmine and the client.
Applicable prices are those in force at the time of subscription or those specified in the commercial proposal.
Article 5 – Orders and invoicing
Orders are considered firm as soon as they are validated in writing (email, signed quote, or confirmation on the website).
Invoices are payable according to the agreed terms (bank transfer, direct debit, etc.).
Article 6 – Liability
Socialmine makes every effort to ensure the availability and reliability of the service but cannot be held liable for:
- temporary interruptions due to maintenance,
- data loss or damage resulting from improper use of the service,
- indirect damage linked to the use of the platform,
- or the exhaustive indexing of sponsored videos.
The detection of partnerships and sponsored content is based on automated and statistical analyses. As a result:
- some sponsored videos may not be detected by the platform,
- and conversely, a few videos may be labelled as sponsored in error, although such cases remain rare.
Socialmine therefore does not guarantee perfect identification and declines any responsibility for decisions made based on this information.
Article 7 – Intellectual property
The algorithms, code, interfaces, and content of the Socialmine website remain the exclusive property of Socialmine SASU.
The client holds a right of use limited to the duration of the contract.
Article 8 – Termination
Each party may terminate the contract:
- at any time for convenience with 30 days' notice,
- immediately in the event of a serious breach not remedied after formal notice.
Article 9 – Governing law and jurisdiction
These T&Cs are governed by French law.
Any dispute shall fall under the exclusive jurisdiction of the courts where Socialmine's registered office is located.
